Welcome to Digital Ingots! By creating an account, purchasing or selling gold (“bullion”) through Digital Ingots Inc. (“Digital Ingots,” “we,” “us,” “our”), or otherwise using our website or services (“Services”), you (“User,” “Customer,” or “you”) acknowledge that you have read, understood, and agree to be bound by these Terms of Service (the “Terms”). 

If you do not agree to these Terms in full, do not use our Services. 

1. INTRODUCTION

1.1 About Us

Digital Ingots Inc. is a Wyoming corporation with a principal place of business at:

1.2 No Financial Advice

Nothing in these Terms, on our website, or in our communications should be considered investment, financial, or tax advice. You make all purchase and sale decisions independently and at your own risk. 

1.3 Modifications to Terms 

  • We may revise these Terms at any time by posting an updated version on our website or by notifying you by email. 
  • Unless otherwise indicated, revisions become effective 30 days after posting. Your continued use of the Services beyond that date constitutes acceptance of the revised Terms. If you disagree, you must withdraw or sell your gold and close your account before the changes take effect. 

1.4 Controlling Language

If we provide these Terms in languages other than English, the English version prevails in the event of a conflict or discrepancy. 

2. ACCOUNT ELIGIBILITY & PROHIBITED USES 

2.1 Age and Accuracy of Information 

  • You must be at least 18 years old (or the legal age of majority in your jurisdiction) to open an account. 
  • You agree to provide accurate and complete information during registration and keep your details (e.g., name, address, email) updated. 

2.2 Prohibited Activities

You agree not to use Digital Ingots’ website, platform, or Services: 

  1. Illegal or Explicit Purposes

    You may not engage in money laundering, terrorist financing, fraud, or any conduct that violates local, state, federal, or international law.

    You may not store, transmit, or link to content that is harassing, obscene, defamatory, threatening, hateful, or otherwise objectionable. 

  2. Security or Third-Party Rights ViolationsYou must not attempt to hack, introduce malicious code, or otherwise interfere with the security or functioning of our platform. 

    You must not infringe upon the privacy or intellectual property rights of others. 

  3. ConsequencesIf we suspect you are engaging in any prohibited activities, we reserve the right to suspend or terminate your account, freeze or refuse transactions, and report suspicious activity to law enforcement or regulatory authorities as required. 

2.3 AML / CTF Compliance 

  • KYC for $10,000+: Any single or aggregate orders over $10,000 require additional identity verification (e.g., government ID, proof of address). 
  • Suspicious Activity: We may hold, investigate, or refuse transactions if we detect or suspect suspicious activity. We may file suspicious activity reports with the appropriate government agencies as required by law. 

3. MEMBERSHIP TIERS

We offer three membership tiers—Free, Basic, and Premium—each with specific annual fees, purchase/sale markups, storage rules, and redemption limits.

3.1 Free Membership 

  • Annual Fee: $0 
  • Storage:  
  • No storage fee for the first 2 years after account creation. 
  • After 2 years, a 5% annual fee applies to the entire gold balance. 
  • Physical Redemption (>1 week hold):  
  • Up to 100 grams in 1-gram bars; any amount above 100 grams may be delivered in larger bars. (see Section 5.3)

3.2 Basic Membership 

  • Annual Fee: $100 (billed upon signup or renewal) 
  • Storage:  
  • 0% storage fee for up to 1,000 grams. 
  • 2.5% annual fee on any holdings above 1,000 grams. 
  • Physical Redemption (>1 week hold):  
  • Up to 250 grams in 1-gram bars; any additional grams in larger bars. (See Section 5.3)

3.3 Premium Membership 

  • Annual Fee: $200 (billed upon signup or renewal) 
  • Storage:  
  • 0% storage fee for up to 2,000 grams. 
  • 1.5% annual fee on any holdings above 2,000 grams. 
  • Physical Redemption (>1 week hold):  
  • Up to 500 grams in 1-gram bars; any excess in larger bars (see Section 5.3).

3.4 Founders’ Ingots Rights

Digital Ingots shall limit the number of Founders’ Ingots to 1,000.  Founders’ Ingots have the following rights.  

A) Lifetime Premium Membership- A holder of a Founders’ Ingot is eligible for lifetime membership as a Premium Member.  As long as they hold the Founders’ Ingot they will not be charged any fees for maintaining a Premium Membership, and shall be granted all the rights and privileges of a Premium Member for their lifetime.  

B) Rights to $500 of common stock in Digital Ingots, Inc.-  The holder of a Founders’ Ingot has the right to $500 of common stock in Digital Ingots, Inc.  This right is redeemable at the time that Digital Ingots, Inc. issues a qualified equity offering as defined in the Convertible Note Offering as of April 20, 2025.  This Convertible Note Offering is available upon request.  This right entitles the holder to 834 shares of common stock at a valuation of $0.60 per share.  This equates to a $6 million valuation and is reflective of the valuation cap listed in the current convertible note.  

C) Other rights- Other rights to the Founders’ Ingot may be listed on the official description of the Founders’ Ingot on this site.  Those additional rights shall not impact those rights assigned here in this Agreement.  

3.5  Right to Modify 
Digital Ingots reserves the right to change membership fees, storage thresholds, purchase/sale rates, and redemption limits at any time, with or without notice. If you disagree with changes, you must close your account or adjust your holdings accordingly.

4. BUYING AND SELLING GOLD 

4.1 Spot Price Reference 

  • We determine the “spot price” using recognized market data. We may change data sources at any time. 
  • Purchase/sell markups or discounts are applied to this spot price when you transact. 

4.2 Order Execution & Suspension 

  • We attempt to process your buy or sell orders promptly but do not guarantee continuous availability. 
  • We may suspend or discontinue gold purchases at any time for any reason (e.g., market volatility, system maintenance, regulatory concerns), with or without notice. 

4.3 Settlement 

  • Proceeds from gold sales typically go to your Digital Ingots cash balance, subject to anti-money-laundering reviews. 
  • Purchases require an available cash balance; we do not provide margin or credit. 

5. STORAGE & DELIVERY

5.1 Vaulting and Insurance 

  • Your gold is stored in professional vault facilities and undergoes routine third party audits.  
  • We insure stored bullion against standard risks (theft, fire) as per industry practice, subject to typical exclusions (e.g., force majeure, nuclear war, etc.). 

5.2 Storage Fee Mechanics 

  • See Section 3 for membership-specific rules. 
  • Storage fees may be deducted monthly or quarterly, based on your gold’s market value. 
  • We may convert a portion of your gold to cash if you lack sufficient cash balance to cover fees. 

5.3 Physical Delivery 

  • Delivery Times: Estimated delivery dates are not guaranteed; unforeseen delays (e.g., customs, carrier delays) can occur. 
  • Redemption Limits: 

Digital Ingots, Inc. reserves the right to redeem physical gold in denominations greater than 1 gram under certain circumstances.  It is our intention to make 1 gram denominations always available, but we reserve the right to limit 1 gram redemptions according to the following schedule.   

  • Free: 100 g in 1-gram bars; 
  • Basic: 250 g in 1-gram bars; 
  • Premium: 500 g in 1-gram bars. 
  • Amounts above these limits may be delivered in larger bar sizes. 
  • Shipping & Insurance: Actual shipping, transit insurance, and applicable taxes/duties are billed to you. 
  • Weight Guarantee: 1-gram bars are ±0.5%. Discrepancies must be reported within 10 days of receipt with supporting evidence. 

6. TAX RESPONSIBILITIES 

You are solely responsible for reporting and paying any taxes (e.g., sales tax, VAT, capital gains) due in your jurisdiction as a result of purchasing, selling, or holding bullion. Digital Ingots does not provide tax advice; consult a qualified tax professional if you have questions.

7. REFUNDS & RETURNS 

7.1 No Returns on Bullion 

  • Precious metals are priced according to market fluctuations. Once delivered, bullion purchases are final. 
  • If you believe your delivered items are “not as described” (e.g., incorrect bar size), contact us within [X days]. We will investigate and correct verifiable errors (e.g., incorrect item shipment) at our discretion. 

7.2 Membership Fee Refunds 

  • Annual membership fees (Basic or Premium) are typically non-refundable unless required by law. 

8. THIRD-PARTY SERVICES & LINKS 

8.1 Independent Providers 

  • We rely on third parties for vaulting, shipping, insurance, data feeds, etc. These third parties operate independently of Digital Ingots. 
  • We are not responsible for any failures, delays, or misconduct by third-party providers. 

8.2 External Links 

  • Our website may link to external sites for convenience. We do not endorse or control these sites, nor do we assume liability for their content or policies. 

9. INTELLECTUAL PROPERTY & SITE USE

9.1 Ownership 

  • All text, graphics, logos, software, and other materials on our site are owned or licensed by Digital Ingots. 
  • You are granted a limited, revocable license to access and use our site for lawful personal or internal business purposes. 

9.2 Restrictions 

  • You may not reproduce, copy, sell, resell, distribute, or exploit any part of the site or Services without our express written permission. 
  • You may not use any data-mining or similar extraction tools without our prior consent. 

10. DATA PROTECTION & PRIVACY 

10.1 Privacy Policy 

  • Our Privacy Policy describes how we collect, use, and share your personal data. By using our Services, you consent to our data practices. 

10.2 Retention 

  • We may retain personal data and KYC documentation for as long as needed to comply with AML rules or other legal obligations. 

11. BETA FEATURES & FUTURE SERVICES 

11.1 Beta Features 

  • We may offer experimental or “beta” features that are less stable than our main Services. If you opt to use these, you do so at your own risk. 

11.2 No Guaranteed Launch 

  • Any mention of future services or features does not obligate us to launch or continue such offerings. 

10. DATA PROTECTION & PRIVACY 

10.1 Privacy Policy 

  • Our Privacy Policy describes how we collect, use, and share your personal data. By using our Services, you consent to our data practices. 

10.2 Retention 

  • We may retain personal data and KYC documentation for as long as needed to comply with AML rules or other legal obligations. 

12. UNCLAIMED PROPERTY & INACTIVITY 

12.1 Dormant Accounts 

  • If your account has no activity (logins, trades, communications) for a period defined by law (often 3-5 years), we will attempt to contact you via your last known email or address. 

12.2 Escheatment 

  • If we cannot reach you and your account remains inactive past the legal dormancy period, we may be required by law to transfer your bullion or its equivalent value to the relevant government authority. 
  • Digital Ingots does not assume ownership of abandoned property; unclaimed assets are handled per escheatment statutes in your jurisdiction. 

13. ACCOUNT CLOSURE & SUSPENSION

13.1 User-Initiated Closure 

  • You may close your account at any time, provided you have settled all fees and withdrawn or sold your gold holdings. 

13.2 Involuntary Suspension/Closure 

  • We may suspend or terminate your account if you violate these Terms, fail to provide required KYC documents, engage in prohibited activities, or if required by law enforcement or regulatory authorities. 

13.3 Effect of Closure 

  • Upon closure, any remaining gold or cash in your account will be returned or liquidated at spot price, minus applicable fees, unless seized under court or governmental orders.

14. DISCLAIMER OF WARRANTIES & LIMITATIONS OF LIABILITY

14.1 Disclaimer of Warranties 

  • Our Services are provided on an “as is” and “as available” basis. We do not guarantee uninterrupted access, completeness, or accuracy of information (including spot prices). 

14.2 Liability Cap 

  • To the fullest extent allowed by law, our total liability for any and all claims is limited to:  
  1. The total fees you paid us in the prior 12 months, or 
  1. The direct value of your lost bullion or cash, 
    whichever is lower. 

14.3 No Indirect Damages 

  • We are not liable for indirect, incidental, consequential, punitive, or special damages, including lost profits, even if we have been advised of their possibility. 

14.4 Force Majeure 

  • We are not liable for delays or failures due to events beyond our reasonable control (e.g., natural disasters, strikes, cyberattacks, governmental orders). 

15. DISPUTE RESOLUTION

15.1 Governing Law 

These Terms shall be governed by the laws of the Commonwealth of Kentucky, without regard to its conflict-of-laws principles. 

15.2 Arbitration 

Any dispute arising out of or relating to these Terms or the Services shall be settled by binding arbitration under the rules of [Named Arbitration Provider]. The seat of arbitration is Wyoming, unless the parties mutually agree otherwise. 

15.3 No Class Actions 

You agree to bring any claims against Digital Ingots individually, and not as a plaintiff or class member in any purported class or representative proceeding. 

16. ENTIRE AGREEMENT & SURVIVAL 

16.1 Entire Agreement 

These Terms, plus any referenced documents (e.g., our Fee Schedule, Privacy Policy), constitute the entire agreement between you and Digital Ingots. They supersede any prior agreements or understandings, written or oral. 

16.2 Severability 

If any provision is found invalid or unenforceable by a court, the remainder of these Terms remain in effect. 

16.3 Survival 

Provisions relating to liability limits, disputes, and any provisions that by their nature should survive account closure (e.g., indemnities, disclaimers) will remain enforceable after termination or expiration. 

16.4 No Waiver 

Our failure to exercise or enforce any right under these Terms does not constitute a waiver of that right. 

16.5 Assignment 

You may not assign these Terms or delegate any obligations without our written permission. We may assign or transfer our rights and obligations to an affiliate or in connection with a merger, acquisition, or sale of assets. 

17. FEE SCHEDULE

A. Membership Fees

  • Free Membership: $0/year 
  • Basic Membership: $100/year 
  • Premium Membership: $200/year 

Billing: Annual membership fees are charged upon signup or renewal. They are generally non-refundable.

C. Storage Fees

1. Free Membership 

  • 2 years from account creation: No storage fee 
  • After 2 years: 5% per year on entire gold balance 

2. Basic Membership 

  • Up to 1,000 g: No storage fee 
  • Above 1,000 g: 2% per year on the excess 

3. Premium Membership 

  • Up to 2,000 g: No storage fee 
  • Above 2,000 g: 1.5% per year on the excess 

Note: Storage fees typically accrue continuously and may be deducted monthly or quarterly. If you have insufficient cash balance, we may sell a portion of your gold at the prevailing spot price to cover fees. 

D. Physical Delivery / Redemption

1. Redemption Limits (Gold Held > 1 Week) 

  • Free Members: 100 g max in 1-gram bars; rest in larger bars 
  • Basic Members: 250 g max in 1-gram bars; rest in larger bars 
  • Premium Members: 500 g max in 1-gram bars; rest in larger bars 

2. Shipping & Insurance 

  • Shipping, transit insurance, and any applicable taxes/duties are borne by the user. 
  • Delivery times are estimates only and can be affected by customs or carrier delays. 

3. Weight Guarantee 

  • 1-gram bars have a ±0.5% tolerance. 
  • Report any discrepancies within [X days] of receipt with documentation. 

 E. Other Charges

  • KYC Compliance: No direct fee, but failure to comply can cause delays or suspensions. 
  • Bank/Wire Fees: Certain wire transfers or bank deposits/withdrawals may incur fees from your bank. 
  • Amendments: Digital Ingots may revise this schedule at any time. See Section 3.4 and 7.1 for details. 

18. GENERAL TERMS AND DISCRETIONARY ENFORCEMENT 

18.1 General Terms 

These Terms set forth the standard rules, obligations, and expectations for using Digital Ingots’ Services. 

18.2 Discretionary Enforcement 

Digital Ingots reserves the right, at its sole discretion, to enforce or decline to enforce any aspect of these Terms that does not violate applicable laws or regulations. Our decision not to enforce a particular provision in any instance does not waive our right to enforce that provision or any other provision in the future. 

18.3 No Third-Party Rights 

Nothing in these Terms shall be deemed to confer any rights or benefits on any third party.
